Non-disclosure agreements
Non-disclosure agreements (NDAs) are legal documents aimed at protecting and controlling the circulation of confidential information shared between parties, for example, whilst conducting a process of due diligence or during transactions.
NDAs create enforceable obligations between the signatories to prevent lawful disclosure of confidential information to third parties or lawful use of the information for any purpose other than that set out in the agreement.
NDAs may be employed as part of a transaction involving SCAD where there is no commercial relationship but NDAs designed to govern personnel matters, employment contracts or severance terms are not entered into in any circumstances.
