Trade, investment and economic development: memorandum of understanding between Scotland and Ukraine

Memorandum of Understanding (MoU) promoting economic cooperation in trade and investment, and economic development between the Scottish Government and the Government of Ukraine.


Memorandum of Understanding between the Scottish Government and the Ministry of Foreign Affairs of Ukraine concerning cooperation in trade and investment, and economic development

The Memorandum of Understanding (hereinafter referred to as "MOU") is made between the Scottish Government and the Ministry of Foreign Affairs of Ukraine, hereinafter referred to individually as a "Participant" and collectively as the '(Participants". In order to strengthen business relations and promote economic cooperation between economic entities in Ukraine and in Scotland, the Participants have entered the present Memorandum of Understanding.

In creating this MOU, the Participants acknowledge and support the framework of existing agreements and MOUs between the UK and Ukrainian Governments, particularly the IOOyear Partnership signed between Sir Keir Starmer, Prime Minister of the United Kingdom and Mr Volodymyr Zelenskyy, President of Ukraine.

General principles

The present MOU does not constitute an international agreement which may lead to rights and obligations under international law, or under the relevant domestic law of either Participant; it is a statement of working intent and is not intended to be legally binding. No provision of this MOU is to be understood and performed as a legal obligation or commitment of the Participants.

The activities set forth in this MOU will be implemented by the Participants according to their resource availability in conformity with budgetary provisions of the Scottish Government and the Ministry of Foreign Affairs of Ukraine.

Nothing in this MOU will be deemed or implied to create a joint venture or partnership of any kind between the Participants. Each Participant will be an independent contractor.

No Participant is authorised or empowered to act as agent for any other Participant or for any purpose and will not on behalf of any other enter into any contract, warranty or representation as to any matter.

Areas of cooperation

The Participants will make the necessary efforts to promote and develop trade between Scotland and Ukraine by:

a) disseminating and exchanging such information as may be relevant to enhance bilateral trade and business;

b) providing practical support to facilitate trade, investment and business events, including fairs, missions and conferences;

c) providing informational support and advice to increase sales by Small and Medium Enterprises by helping them find new markets and customers based on professional matchmaking, including appropriate e-platforms;

d) promoting technology transfer and protection of industrial property in Scotland and Ukraine in accordance with international and national rules and regulations;

e) promoting exchange of training programs between business representatives in the two countries;

f) promoting strategic business alliance between the business circles, encouraging visits, meetings and other interaction between individuals and enterprises of the two countries.

Amendments

The participants may amend this MOU at any time by mutual written consent.

Differences of interpretation

Any difference in the interpretation and/or implementation of this MOU will be amicably settled through direct consultations and negotiations between the Participants, without recourse to any national, international tribunal or third-party for the purpose of settlement. The Memorandum of Understanding is not intended to be legally binding and is binding in honour only.

Effectiveness and duration

  1. This MOU takes effect on the date of signature; it will remain in effect for a period of three (3) years and the Participants may decide to renew it for further periods of three (3) years by mutual written consent.
  2. Each Participant may notify the other of its intentions to terminate this MOU six (6) month prior to the intended date of expiration.

The foregoing record represents the understandings reached between the Scottish Government and the Ministry of Foreign Affairs of Ukraine upon the matters referred to therein.
