Information requested
1. A copy of ancillary contract between AIB and Dunedin and any third party input.
2. A copy of the “call-off contract” and the agency agreement between AIB and Dunedin.
Response
An exemption(s) under section 33(1)(b) - substantial prejudice to commercial interests and section 38(1)(b) - third party personal data of FOISA applies to some of the information you have requested.
Annex A - Framework agreement:
Personal data - I have redacted the names and email addresses in section 12.2.1 and 12.3.2 as this relates to third parties.
This exemption is not subject to the public interest test.
Commercial interests - I have redacted 7 documents in Schedule 1b - Contractor Proposal submitted by Dunedin Advisory Limited during the tender process and the amounts contained within Schedule 2 - Pricing Schedule.
This exemption applies because disclosure of this particular information would, or would be likely to, prejudice substantially the commercial interests of Dunedin Advisory Limited. Disclosing this information would be likely to give Dunedin's competitors an advantage in future similar tendering exercises, which would substantially prejudice their ability to submit competitive tenders and so could significantly harm their commercial business.
This exemption is subject to the ‘public interest test’. Therefore, taking account of all the circumstances of this case, I considered if the public interest in disclosing the information outweighs the public interest in applying the exemption. I found that, on balance, the public interest lies in favour of upholding the exemption for the reasons above.
